1. Definitions
For the purposes of these Terms, the following definitions apply:
- Account: Your account registered to access the Services.
- Authorized Users: Your employees/contractors/agents you allow to use the Services under your Account. You are responsible for them.
- Plan: The subscription tier you select, including its features, limits, and fees.
- Billing Cycle: The recurring period for subscription billing (monthly/annually) as shown at checkout.
- Usage: Measurable consumption of the Services (e.g., builds, notifications, devices/users, API calls, storage), as recorded by our systems.
- Third-Party Services: Services not owned by us (e.g., Shopify, payment providers, Google Play, Apple App Store).
2. Eligibility
The Services are intended for business/commercial use. You must be at least 18 years old and able to form a legally binding contract. If you use the Services on behalf of a company, you confirm you are authorized to bind that company.
3. Account registration
- You may need to create an account using email and password.
- You are responsible for keeping credentials secure and confidential.
- You must provide accurate and up-to-date information.
- You are responsible for activity under your Account and by your Authorized Users.
4. Services provided
Semblor provides tools that help merchants build and manage mobile apps (Android/iOS) via a dashboard, including configurations and integrations. Certain features (builds, deployments, payments, store sync) may depend on Third-Party Services and their policies.
5. Merchant responsibilities
- You are responsible for your store content, product listings, pricing, and customer communications.
- You agree not to use the Services for illegal, harmful, abusive, or deceptive activities.
- You are responsible for compliance with applicable laws (consumer law, privacy, taxes, etc.).
6. Content ownership & license
You own your app/store content (logos, images, text, product data, etc.). You grant Semblor a limited, non-exclusive license to host, process, and display your content only as needed to provide the Services.
7. Third-party services
The Services may integrate with third parties such as Shopify, payment providers (Razorpay, Cashfree, Stripe), and distribution platforms (Google Play, Apple App Store). Your use of third-party services is governed by their terms, and we are not responsible for third-party actions, downtime, or policy changes.
8. App store review & rejections
App approval is controlled by Google and Apple. Semblor does not guarantee app approval and is not liable for rejections, suspensions, or policy enforcement by app stores.
9. Subscriptions, fees & payment terms
- Some features require a paid subscription.
- Payments are processed by third-party payment gateways.
- Fees are generally billed in advance (monthly/yearly) unless stated otherwise.
- You are responsible for applicable taxes related to your purchase/use of the Services.
9.1 Plan changes
- Upgrades: May be applied immediately and charges may be pro-rated.
- Downgrades: Typically apply at the next billing cycle.
- Usage limits: Some plans may have limits; we may throttle/cap features if limits are exceeded, or ask you to upgrade (where applicable).
9.2 Late payments
If payment fails or remains unpaid, we may suspend access until dues are cleared. Continued non-payment may lead to termination.
10. Refunds
Unless required otherwise by applicable law, we offer a full refund within 7 days of purchase, provided the request meets our conditions below.
- Refund requests must be emailed to support@semblor.com.
- We may deny refunds in cases of fraud, abuse, or violations of these Terms.
- If substantial value has already been delivered (e.g., multiple completed builds, extensive support, custom work), we may evaluate eligibility fairly and in good faith.
11. Acceptable use
You agree not to:
- Violate any laws or third-party rights
- Upload malicious code, attempt unauthorized access, or disrupt systems
- Use the Services to distribute prohibited content (spam, scams, illegal goods, hate, etc.)
- Reverse engineer or misuse the Services except as permitted by law
12. Suspension & termination
We may suspend or terminate your account if you violate these Terms, misuse the Services, or create risk for us or others. You may stop using the Services at any time.
13. Changes to pricing & features
We may change pricing, plans, or features. If changes materially reduce your plan benefits, we will make reasonable efforts to inform you in advance.
14. Disclaimers
The Services are provided “as is” and “as available”. We do not guarantee uninterrupted operation or that the Services will meet all requirements.
15. Limitation of liability
To the maximum extent permitted by law, Semblor will not be liable for indirect, incidental, special, consequential, or business losses (including lost profits, lost revenue, loss of data, or reputational harm).
16. Force majeure
We are not liable for failure or delay due to events beyond reasonable control, including natural disasters, government actions, outages of third-party providers, or internet/service disruptions.
17. Indemnity
You agree to indemnify and hold Semblor harmless from claims arising out of your content, your merchant app, your customers, or your violation of these Terms or applicable law.
18. Governing law & jurisdiction
These Terms are governed by the laws of India. Courts with jurisdiction in/near Noida, Uttar Pradesh, India will have jurisdiction, subject to applicable law.
